Terms of Use

These Terms of Use (these “Terms”) govern your access to and use of the Northern Merritt Investor Administration Platform (the “Platform”), operated by Meridian Hill Partners, a general partnership organized in the State of Delaware, doing business under the marketing name Northern Merritt Funds (“Northern Merritt,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Restricted, Authorized Access Only

The Platform is a private, credentials-only system intended solely for authorized investors and authorized personnel. Access credentials are issued by Northern Merritt and are personal to you. There is no public registration, and access is granted at our discretion. Unauthorized access to, or use of, the Platform is prohibited and may be monitored, recorded, and reported to law enforcement.

2. Your Credentials and Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We may suspend or revoke access at any time, including after repeated failed sign-in attempts or where we reasonably suspect misuse.

3. No Offer; Informational Purposes

Information presented on the Platform is provided for your convenience and for informational purposes only. It does not constitute an offer to sell, or a solicitation of an offer to buy, any security, and it is not a recommendation, advice, or an invitation to engage in any investment activity. Account values, projections, accruals, and similar figures are estimates that may be unaudited and subject to change, and may differ from final, reconciled amounts.

4. No Investment, Legal, or Tax Advice

Northern Merritt does not provide investment, legal, accounting, or tax advice through the Platform. You should consult your own advisors before making any decision relating to your account or investments. Your investment is governed by your separate account agreement and related disclosures, which control in the event of any conflict with content displayed on the Platform.

5. No Guarantee; Risk Disclosure

These are private fixed-rate income fund investments — not bank deposits or savings accounts, and not insured or guaranteed by the FDIC, NCUA, Northern Merritt, or any government agency. The fixed rate is a target; neither the stated return nor the return of your principal is guaranteed, and you may lose value. Past or projected performance is not indicative of future results. Northern Merritt is a private investment manager and is not registered with the Securities Investor Protection Corporation (SIPC) or the Financial Industry Regulatory Authority (FINRA).

6. Acceptable Use

You agree not to: (a) access the Platform other than with valid credentials issued to you; (b) attempt to access data or accounts that are not your own; (c) probe, scan, or test the vulnerability of the Platform, or breach or circumvent any security or authentication measure; (d) interfere with or disrupt the integrity or performance of the Platform; (e) introduce malware or any harmful code; or (f) use the Platform for any unlawful purpose.

7. Intellectual Property

The Platform, including its software, design, text, and marks, is owned by Northern Merritt or its licensors and is protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely to view and manage your own account information. No other rights are granted.

8. Confidentiality

Information made available to you through the Platform is confidential. You agree to use it solely in connection with your own account and not to disclose it to any third party except your authorized advisors who are bound by obligations of confidentiality.

9. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, Northern Merritt and its partners, affiliates, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising out of or relating to your use of, or inability to use, the Platform.

11. Indemnification

You agree to indemnify and hold harmless Northern Merritt and its partners, affiliates, and personnel from any claims, losses, or expenses arising out of your breach of these Terms or your misuse of the Platform.

12. Suspension and Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, including for inactivity, suspected unauthorized use, or violation of these Terms. Provisions that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted to the Platform. Your continued use after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Where your separate account agreement specifies a different governing law or dispute-resolution forum, that agreement controls with respect to the subject matter it covers.
